NO PURCHASE NECESSARY

GIVEAWAY DESCRIPTION: The Taste Salud Target X Cabo Giveaway (the “Giveaway”) begins on April 22, 2024 at 12:00 PM Pacific Time (“PT”) and ends on May 17, 2024 at 11:59 p.m. PT (the “Giveaway Period”).

Entry in the Giveaway does not constitute entry into any other promotion, contest or sweepstakes.  By participating in the Giveaway, each entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Taste Salud LLC, P.O. BOX 3759, Santa Monica, CA 90408, USA (“Sponsor”), which shall be final and binding in all respects.

ELIGIBILITY: Only United States residents legally residing in the fifty (50) United States and the District of Columbia, which, for clarification, specifically excludes Puerto Rico and U.S. territories and possessions, who are thirteen (13) years of age or older are eligible to enter.  Eligible entrants who are less than the age of majority in their state of primary residence (a ‘minor’) must have a parent/legal guardian’s permission to participate in the Giveaway.  Employees, officers and directors of Taste Salud, LLC, Target, and their respective parent companies, affiliates, subsidiaries, advertising, fulfillment and marketing agencies, and influencers (collectively, the “Giveaway Entities”) and their immediate family members, and/or those living in the same household of each, are ineligible to enter the Giveaway or win a prize.  Giveaway is void in Puerto Rico, U.S. territories, and possessions; and where prohibited by law.

HOW TO ENTER:

There are four (4) ways to enter the Giveaway: 

 1. WITH PURCHASE AND OPT-IN TO RECEIVE TEXT MESSAGES: During the giveaway period, visit a participating Target location and purchase any available Taste Salud product(s) (“Qualifying Purchase”), while supplies last.

 Then, using your mobile phone, i) take a photo of your Target store receipt that clearly includes the date, store number/location and eligible Taste Salud product(s) purchased and text the photo to 95-171 and include the word: "TARGET".

 By entering via text message from your mobile phone and signing-up to receive commercial text messages from Sponsor you agree to receive autodialed text messages from Sponsor or on behalf of the Sponsor about the Giveaway and Sponsor’s products and services to that mobile phone by or on behalf of Sponsor. Your mobile phone must be capable of sending and receiving text messages to participate via this method. Text message and data rates may apply. Consent to receive text messages is not required or a condition of any purchase. Text STOP to 95-171 to cancel receipt of any future texts or text HELP to 95-171 for help. See your wireless carrier for text message rates and capabilities. The text messaging method of entry is designed to work with most of the U.S. major wireless carriers in the United States, but Sponsor makes no guarantee that any particular wireless service provider will participate, and the mobile phone that is used must be capable of sending and receiving text messages. Check with your carrier for details. 

 2. SIGN UP FOR EMAIL: Enter by simply signing up for Taste Salud's email list on the giveaway landing page.  The giveaway landing page can be found here: giveaway.tastesalud.com. By providing your email address, you consent to receive email announcements from Taste Salud, in accordance with our Privacy Policy.

3. BONUS ENTRY: Follow the instructions on the giveaway landing page to enter the Giveaway (the “Entry”). If the Entry is in the form of an original photograph or comment, you warrant and represent that:

- Your entry is original to you.

- It does not infringe the property rights of any third party,   including without limitation any intellectual property rights.

- You own or have the necessary licenses, rights, consents, and permissions to publish and exploit the Entry,

- The Entry does not feature trademarks, logos, or brand names other than Taste Salud, and the Entry is not made for any improper or illegal purpose such as by way of illustration to intimidate or harass any individual or to ridicule, disparage, or embarrass Taste Salud.

Without in any way limiting the foregoing, as part of the Entry, you: (i) grant a to Taste Salud to a royalty-free, perpetual, irrevocable, transferrable, sublicensable, and non-exclusive license throughout the universe for use in any and all media whether now known or hereafter devised to use and exploit (including without limitation by reproduction, distribution, public display, adaptation, communication to the public, and/or public performance, and including without limitation for commercial purposes) the Entry; (ii) waive to the full extent permitted by law any and all claims against Taste Salud related to moral rights in the Entry; (iii) and except where prohibited, grant written permission to have the Winner’s name, likeness and identity used for promotional purposes by Taste Salud without additional compensation, permission or notice to any party, including without limitation to you.

Limit one Entry per person per Giveaway unless otherwise stipulated.

To preserve the standards of a Giveaway, Taste Salud may occasionally ask for additional information which will be used for fraud prevention.

No Entry shall contain any language or imagery which Taste Salud deems, in its sole and absolute discretion, to be inappropriate, indecent, obscene, hateful, tortious, defamatory, or that promotes discrimination on the basis of race, gender, religion, nationality, disability, sexual orientation, or age. Taste Salud reserves the right, in its sole discretion, to disqualify any Entry that contains any such language or imagery or which otherwise may be in violation of any law. Late, incomplete and/or inaccurate entries and entries not complying with all Rules are subject to disqualification. Any form of automated entry, including by the use of macros, scripts or bots, will be disqualified. Furthermore, by entering, each Participant represents and warrants that each Entry complies with these Giveaway Rules in full. Taste Salud reserves the right in its sole discretion to disqualify and/or not accept any Entry that Sponsor determines does not or is likely not to comply with these guidelines.

Number of Entries: One Entry per Social Media account, unless otherwise stipulated on the Giveaway Social Media Post. Any Entries over the limit will be deemed ineligible and will not be entered into the Giveaway.

By participating, each person who participates (each a “Participant”) agrees to be fully and unconditionally bound by these Rules, and represents and warrants that he/she meets the eligibility requirements set forth herein.

By entering a Giveaway, you will not be eligible to receive any prizes awarded in any other Giveaway unless you enter each Giveaway separately. 

4. NO PURCHASE NECESSARY – MAIL IN: To enter without making a purchase, handprint your name, address, city, state, ZIP code, e-mail address, and daytime phone number (including area code) on a 3”x5” card, and mail in a business-size #10 envelope with proper postage affixed to: Taste Salud, LLC Walmart Giveaway Entry, P.O. BOX 3759 Santa Monica, CA 90408, USA. Each Mail-In entry will receive one (1) entry into the Giveaway.  All Mail-In entries must be postmarked by May 16, 2024 and received by May 17th, 2024 to be considered for entry.  Each entry must be mailed separately.  No typed, computer printed, mechanically reproduced, photocopied, illegible, or incomplete entries will be accepted, and all such entries will be void.  

Limit of one (1) entry per person per day throughout the Giveaway Period, regardless of method of entry.  For purposes of these Official Rules, a ‘day’ is defined as any twenty-four (24) hour period during the Giveaway Period beginning at 12:00 a.m. PT and ending twenty-four (24) hours later at 11:59 p.m. PT.  All entries received from any person that exceeds the stated limitation will be disqualified. 

All entries must be received by the end of the Giveaway Period in order to participate.  The Website’s database clock will be the official timekeeper for online entries in this Giveaway.  In the event a dispute regarding the identity of the individual who actually submitted an entry cannot be resolved to Sponsor’s satisfaction, the affected entry will be deemed ineligible.  The Giveaway Entities shall not be responsible for incorrect or inaccurate entry information whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Giveaway or by any technical or human error which may occur in the processing of the entries in the Giveaway.  The Giveaway Entities assume no responsibility or liability for any error, omission, interruption, deletion, theft or destruction, or unauthorized access to, or alteration of entries.  

WINNER SELECTION AND NOTIFICATION:  On or about May 17, 2024, one (1) potential prize winner will be randomly selected from all eligible entries received throughout the Giveaway Period.  The potential prize winner will be notified by text message, phone and/or e-mail, using contact information provided or collected at the time of entry.  Sponsor shall have no liability for any winner notification that is lost, intercepted or not received by a potential winner for any reason.  If, despite reasonable efforts, a potential winner does not respond within seventy-two (72) hours of the first notification attempt, or if the prize notification is returned as unclaimed or undeliverable to such potential winner, such potential winner will forfeit his or her prize and an alternate winner may be selected.  Sponsor, in its sole discretion, will attempt to contact up to three (3) potential winners of a prize in accordance with the above procedure, after which the prize in question may go unawarded if it remains unclaimed.  If any potential prize winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines the prize for any reason prior to award, such potential prize winner will be disqualified and an alternate prize winner may be selected.  The odds of winning depend on the number of eligible entries received throughout the Giveaway Period. 

GRAND PRIZES (1): The winner will receive an all-expenses-paid trip for two to Cabo San Lucas including: roundtrip flights, airport ground transportation, 3-night stay at a luxury hotel, $1,000 spending cash, and a 1 year supply of Salud to be awarded in a form as determined by the Sponsor in its sole discretion. Approximate Retail Value (“ARV”) ________

GENERAL PRIZE CONDITIONS: All federal, state and local taxes and all other costs associated with prize acceptance and use not specified herein as being provided are the sole responsibility of the winner. The winner may not substitute, assign or transfer prize or redeem prize for cash, but Sponsor reserves the right, at its sole discretion, to substitute a prize (or portion thereof) with one of comparable or greater value. All prize details are at Sponsor’s sole discretion. 

Sponsor makes no warranties, and hereby disclaims any and all warranties, express or implied, concerning any prize furnished by third parties in connection with the Giveaway.  WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SUCH PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT. 

GENERAL:  Acceptance of a prize constitutes prize winner’s (and, in the case of a minor winner, such minor winner’s parent/legal guardian on their behalf) permission for Sponsor and its designees to use prize winner’s name, photograph, likeness, voice, biographical information, statements and address (city and state) for advertising and/or publicity purposes worldwide and in all forms of media now known or hereafter developed, in perpetuity, without further compensation.  Entrants (and, in the case of a minor entrant, such minor entrant’s parent/legal guardian on their behalf) agree that the Giveaway Entities (A) shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Giveaway or any Giveaway-related activity, or from entrants’ acceptance, receipt, possession and/or use or misuse of any prize, and (B) have not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize’s quality or fitness for a particular purpose.  Sponsor is not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged, or stolen entries or prize notifications; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet service providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information.  Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Giveaway, to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Giveaway, or to annoy, abuse, threaten or harass any other person, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law.  No mechanically reproduced, illegible, incomplete, forged, software-generated or other automated multiple entries will be accepted.  Sponsor reserves the right to modify, extend, suspend, or terminate the Giveaway if it determines, in its sole discretion, that the Giveaway is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other causes beyond Sponsor’s control have destroyed or severely undermined or to any degree impaired the integrity, administration, security, proper play and/or feasibility of the Giveaway as contemplated herein. In the event Sponsor is prevented from awarding prizes or continuing with the Giveaway as contemplated herein by any event beyond its control, Sponsor shall have the right to modify, suspend, or terminate the Giveaway.  If the Giveaway is terminated before the designated end date, Sponsor will (if possible) select winner in a random drawing from all eligible, non-suspect entries received as of the date of the event giving rise to the termination.  Inclusion in such drawing shall be each entrant’s sole and exclusive remedy under such circumstances.  These Official Rules cannot be modified or amended in any way except in a written document issued by a duly authorized representative of Sponsor.  The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision.  In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. 

GOVERNING LAW:  ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR SPONSOR IN CONNECTION WITH THE GIVEAWAY SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE STATE OF CALIFORNIA WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OR CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE’S LAWS.
